Nebius Group N.V. (NASDAQ: NBIS) Adds $3.5B Bridge Facility

What happened

Nebius Group N.V. (NASDAQ: NBIS) secured $3.5 billion of near-term funding for its AI buildout, but the money carries a refinancing deadline.

The company signed the senior secured bridge on October 17 and disclosed it October 22. The 364-day facility matures October 16, 2027. Proceeds can fund data-center development, GPU purchases and general corporate purposes.

Loans start at Term SOFR plus 2.75%. The margin rises 0.25 percentage points every 90 days, up to 3.50%. The company can prepay without a premium or penalty.

The debt is secured by substantially all assets of the named borrowers and includes a minimum-liquidity covenant. Nebius Group N.V. (NASDAQ: NBIS) did not disclose how much it has drawn, its fees or the covenant threshold.

Why it matters

The bridge buys time. Nebius Group N.V. (NASDAQ: NBIS) can keep ordering infrastructure while deciding when and how to arrange longer-term financing, without issuing shares through this facility.

At a full draw, the initial 2.75% margin alone equals $96.25 million of annualized interest before Term SOFR and fees. Each 0.25-point step adds $8.75 million. The full 0.75-point increase adds $26.25 million.

Scale matters because company purchases of property, equipment and intangibles reached $5.6574 billion in the second quarter. The $3.5 billion commitment equals 61.9% of that one-quarter spend.

That comparison does not forecast another quarter. Spending is lumpy, and committed funding is not cash already drawn. It shows why a large facility can still be a bridge rather than a complete capital plan.

Management cited more than $40 billion of long-term customer contracts as a potential base for later financing. Those commitments may support asset-backed funding, but the release does not disclose their cash timing or margins.

The strongest counterargument is that the bridge shifts rather than solves the funding risk. Higher SOFR raises cash cost, collateral reduces flexibility, and the short maturity forces repayment, replacement or refinancing by October 2027.

What's next

Watch actual borrowings, rate and fee disclosures, covenant headroom and any term-out before maturity. The next financial report should also show whether new capacity begins converting into revenue fast enough to absorb financing cost.

The facility strengthens near-term execution capacity for Nebius Group N.V. (NASDAQ: NBIS). It does not remove capital intensity or prove that demand will fill the infrastructure at attractive margins.
