Why net income swung
One-time items drive much of the swing. The third quarter of 2025 carried $175.83 million of real estate impairments. The filing ties them to other-than-temporary charges on certain unconsolidated real estate joint ventures. The reconciliation adds those charges back to reach Nareit FFO.
The nine-month figures carry their own one-offs. Net income applicable to common shares was $263.27 million, against a loss of $43.34 million a year earlier. That period includes a $138.34 million gain upon change of control.
The filing links the gain to two deals. One is the acquisition of the remaining 46.5% interest in the SWF SH JV, which held 19 senior housing properties. The other is the sale of an 80% interest in six outpatient medical buildings to a third party.
Costs also rose. Transaction, merger and restructuring-related costs were $8.38 million in the quarter, up from $2.42 million a year earlier. For nine months they were $36.68 million versus $18.17 million. The filing says the 2026 costs include investment pursuit costs and transition costs tied to senior housing operators, plus Janus Living IPO costs in the nine months.

What the segments show
Senior housing is reshaping the revenue mix. Its revenue was $268.3 million in the third quarter, up 78.3% from $150.46 million a year earlier, by OptimistFi's calculation.
Outpatient medical revenue slipped 3.6% to $314.75 million from $326.56 million. Lab revenue rose 4.9% to $223.87 million from $213.33 million.
Revenue is not profit. Total Adjusted NOI was $381.31 million in the quarter. Senior housing contributed $53.66 million of it, against $184.27 million from outpatient medical and $140.87 million from lab. Senior housing carried $193.42 million of operating expenses in the quarter.
Why it matters
OptimistFi has argued that Healthpeak works if demand for healthcare space holds and management funds growth without letting leverage and capital costs eat the economics. This filing supports the funding side and cautions on earnings.
On funding, Healthpeak had $3.8 billion of liquidity as of Oct. 30, counting cash, revolver availability and undrawn term loan commitments. Janus Living had approximately $1.2 billion of liquidity, including cash and available credit facility capacity. Healthpeak received about $1.03 billion for the sale of the 49% interest.
On earnings, per-share FFO is slipping while the segment mix shifts toward senior housing. Guidance for 2026 puts diluted FFO as Adjusted at $1.76 to $1.78 a share and diluted Nareit FFO at $1.72 to $1.74.
Guidance for diluted earnings per share is $0.39 to $0.41. That range includes a $0.20 per share gain upon change of control and $0.09 per share of gains on sales of depreciable real estate. It is not a clean read on recurring earnings.
Management says the projections reflect its view of market conditions as of Nov. 2, including assumptions on rental rates, occupancy and development items. They exclude unannounced transactions, and actual results may differ materially, the filing says.
What's next
Healthpeak's next quarterly report is the next test. A rebound in diluted FFO as Adjusted from the third-quarter level would support the guidance range. Another year-over-year decline would deepen the concern that growth is not yet reaching per-share earnings.
The same report will show whether senior housing Adjusted NOI keeps pace with that segment's revenue growth.
