What happened
CRH Public Ltd Co (NYSE: CRH) lowered its 2026 profit guidance and authorized a buyback of up to $6 billion. Holders got a bigger capital-return program and a lower earnings target in the same release.
In its third-quarter results on Oct. 29, CRH said it now expects 2026 net income of $3.1 billion to $3.3 billion. The previous range was $3.9 billion to $4.1 billion. Adjusted EBITDA is now seen at $7.8 billion to $8.0 billion, also lower than before.
Diluted earnings per share guidance fell to $4.63 to $4.85 from $5.60 to $6.05. Capital expenditure guidance was also lowered. CRH blamed the earlier than expected close of the Arcosa deal, inflationary costs and a tougher residential construction market.
The buyback authorization expires at the end of 2030. CRH can buy shares on the open market, in private deals, through accelerated repurchases or through tender offers. Management sets timing, price and amount.

The quarter behind the cut
Revenue grew while profit fell, and the release says impairments were the main drag. Total revenues were $11.4 billion, up 3% from $11.1 billion in the third quarter of 2025. CRH credited positive pricing, resilient underlying demand and acquisitions.
Net income was $1.2 billion against $1.5 billion a year earlier, a 22% decline. Loss on impairments was $178 million, up from $40 million, and relates to the Philippines reporting unit within International Solutions. Diluted EPS was $1.86 against $2.21, or $2.09 against $2.27 before impairments.
Adjusted EBITDA of $2.7 billion matched last year, but its margin slipped to 23.5% from 24.3%. CRH said pricing, performance initiatives and acquisitions were offset by cost inflation, subdued residential activity and divestitures.
Americas Materials Solutions showed the pricing story most clearly. Its revenue rose 6%, with aggregates pricing up 5% and volumes up 2%. Its Adjusted EBITDA rose only 1%, and the margin fell to 26.3% from 27.6%.
Americas Building Solutions saw revenue fall 3% and Adjusted EBITDA fall 18%. CRH pointed to a prior-year gain on land sales that did not repeat, and to cost inflation. International Solutions grew Adjusted EBITDA 6%.

How Arcosa was funded
CRH completed its purchase of Arcosa, Inc. on Oct. 23. Arcosa stockholders received $150.00 per share in cash, for a total enterprise value of approximately $8.5 billion. CRH paid with a $2.5 billion term loan, a bridge facility and cash on hand.
Net Debt was $15.0 billion at Sept. 30, up from $14.2 billion at Dec. 31, 2025. That figure predates the Oct. 23 closing. CRH ended the quarter with $5.1 billion of cash and restricted cash, and $4.5 billion of undrawn committed facilities available until May 2030. It said it expects to keep a strong investment-grade credit rating.
The 2026 guidance includes the expected fourth-quarter contribution from Arcosa and expected fourth-quarter costs from Velocity, CRH's new transformation program.
Why it matters
OptimistFi has argued that CRH's dense North American footprint should turn essential construction demand into pricing, margins and cash, if capital allocation stays disciplined. The quarter supports the pricing part in aggregates and asphalt. But the margin fell in the Materials group and guidance came down.
Using the midpoints in CRH's own guidance reconciliation, OptimistFi calculates that 2026 net income guidance fell 20.0%, to $3.2 billion from $4.0 billion. Adjusted EBITDA guidance fell 4.8%, to $7.9 billion from $8.3 billion. The net income cut is far larger.
The buyback and the Arcosa deal both put capital to work, and the case turns on whether that stays disciplined. CRH repurchased $0.7 billion of shares in the first nine months of 2026, against $0.9 billion a year earlier. It also spent $1.9 billion on 27 acquisitions year to date, before the Arcosa closing.
One caveat applies to comparisons. In the third quarter, CRH changed its Adjusted EBITDA definition to exclude large acquisition-related integration costs and transformation-related costs.
What's next
CRH hosts a conference call and webcast at 8:00 a.m. EDT on Oct. 29 to discuss the quarter and its outlook. The quarterly dividend of $0.39 per share, a 5% increase on the prior year, is payable on Dec. 9 to holders of record on Nov. 13.
Velocity is the longer test. CRH expects about $400 million of annual run-rate benefits by the end of 2028, against total non-routine costs of about $400 million. It had recognized $49 million of those costs through the third quarter.
The next hard check is the fourth-quarter result against a guidance range that now includes Arcosa. A result at the low end of net income guidance would deepen the earnings concern the cut already raises.
