Emera (NYSE: EMA) agrees $72 billion merger with Canadian Utilities and ATCO spin-off

What happened

Emera (NYSE: EMA), Canadian Utilities and ATCO agreed on Oct. 6, 2026, to combine in a merger of equals. The combined company is expected to have approximately $72 billion in pro forma enterprise value, approximately $45 billion in rate base and about six million customers.

The release says the transaction values Canadian Utilities at approximately $14.3 billion and would create a Top 20 North American utility. Canadian Utilities Class A shareholders will receive 0.755x of an Emera share, Class B shareholders will receive 0.819x, and ATCO Class I and II shareholders will receive 0.865x in the all-share deal. ATCO will also spin off New ATCO, a separate public company focused on housing, defence and investments, including ports and retail energy.

Emera shareholders are expected to own approximately 60% of the combined company, while Canadian Utilities and ATCO shareowners are expected to own about 40%. The combined company will operate as Emera and keep its public headquarters in Halifax. Canadian Utilities will keep corporate and operational headquarters in Calgary and Edmonton. Scott Balfour will serve as CEO of the combined company, and Nancy Southern will serve as Co-Chair of the board.

Why it matters

OptimistFi's case is that Emera creates durable value by growing a rate-based asset platform whose regulated and contracted assets convert into predictable cash flow and earnings. The filing adds a larger utility platform, a $32 billion capital plan through 2030 and a separate ATCO spin-off.

The combined company would have about 95% of earnings from regulated utilities and about 80% from Florida and Alberta. Canadian Utilities shareholders are also expected to see an approximately 20% increase in dividend income. Any dividends after closing will be set by Emera's board. The main caveat is that the benefits are still forward-looking because the deal needs shareholder, court and regulatory approvals.

What's next

A joint management information circular will be prepared for special meetings expected in early 2027. The transaction is expected to close in the third or fourth quarter of 2027 if the required votes and approvals are obtained. A clear approval path at those meetings would strengthen the case. Delays or failed votes would leave the deal contingent.
