onsemi earnings growth outpaces sales 4x and it lifts AI target (NASDAQ: ON)

What happened

ON Semiconductor Corporation (NASDAQ: ON), which calls itself onsemi, grew third-quarter earnings far faster than revenue and lifted its AI data center target. It reported results Nov. 2 for the quarter ended Oct. 2.

Revenue rose 11% from a year earlier to $1.72 billion. Non-GAAP diluted earnings per share reached $0.90 from $0.63. GAAP diluted earnings per share was $0.79 against $0.63. The release headline says earnings growth outpaced revenue growth by 4x.

CFO Thad Trent said earnings per share grew more than 40% on that sales gain. He called the result a demonstration of operating leverage in the company's model.

Where the growth came from

AI data center revenue grew 39% from the second quarter and 175% from a year earlier, according to CEO Hassane El-Khoury. He said rising power needs are driving demand in AI data center and industrial end markets.

Growth was uneven by segment. PSG revenue rose 21% year over year to $889.9 million. AMG and ISG each grew 2%, to $597.3 million and $235.1 million.

Two customer items stand out. Subaru entered a strategic technology engagement for early access to onsemi's Embedded Power Platform. Sungrow adopted onsemi's latest EliteSiC silicon carbide hybrid power module technology.

Margins and cash

Profit improved faster than sales. Gross margin expanded for the fifth straight quarter, up 190 basis points from the second quarter. GAAP gross margin was 41.4% against 37.9% a year earlier. GAAP operating margin reached 22.0% against 17.0%, a gain of 5.0 percentage points.

Free cash flow of $489 million grew 31% year over year and equaled 28% of revenue. Cash from operations rose 23% to $516 million.

Cash and cash equivalents stood at $4.16 billion on Oct. 2, up from $2.15 billion at Dec. 31, 2025. Long-term debt rose to $3.66 billion from $2.98 billion over the same stretch.

The Ferric and Synaptics moves

onsemi announced an agreement to acquire Ferric. The company says this makes it a leader in next generation AI processor power delivery. It raised its AI data center revenue target for 2030 by $500 million to greater than $3 billion.

The company also revised the terms of its planned Synaptics acquisition. The new terms are approximately $5.7 billion in cash, compared with $7 billion in stock under the prior agreement. The company says the change should make the deal immediately accretive to non-GAAP EPS.

Why it matters

OptimistFi has argued that ON's upside depends on 2025 proving to be an inventory-and-utilization trough, not a lasting loss of share or pricing. The run of margin gains and the swing in nine-month operating income support the trough reading.

For the nine months, GAAP operating income was $583.5 million against a loss of $115.9 million a year earlier. That earlier period included $608.1 million of restructuring, asset impairments and other charges, a one-time item that flatters the comparison.

Two points limit the read. Growth was concentrated, with AMG and ISG expanding far less than PSG. GAAP net income attributable to the company was $313.9 million against $255.0 million, and the income tax provision was $84.9 million against $17.7 million.

The Ferric and Synaptics deals are announced or planned, so the quarter's results reflect neither. Their upside is a promise until the deals close and contribute.

What's next

The company hosts a conference call at 5 p.m. Eastern on Nov. 2 to discuss the results. For the fourth quarter of 2026, it guided revenue to $1,715 to $1.81 billion, so the low end sits below the third quarter's revenue.

It also guided non-GAAP diluted earnings per share to $0.95 to $1.07. GAAP gross margin guidance starts at this quarter's reading and runs up to 43.4%. A fourth-quarter gross margin above the third-quarter level would extend the streak and strengthen the trough thesis. Revenue below the range would weaken it.
