What happened
Broadcom Inc. (NASDAQ: AVGO) disclosed a contingent backstop with a maximum potential liability of approximately $43 billion tied to AI-rack leases.
On Oct. 26, Broadcom arranged for financial partners to take on a portion of certain agreements. These cover purchases of AI racks built on custom AI accelerators that Broadcom designed, plus the related lease agreements with its customer. The leases enable the deployment of compute capacity.
In connection with the arrangement, Broadcom is providing residual value support to a newly formed special purpose vehicle, called the Backstop.
The Backstop grows as the AI racks are delivered and deployed. It shrinks as the customer makes lease payments. The maximum figure applies upon deployment of the racks and is stated on an undiscounted basis.

Why it matters
The Backstop ties Broadcom's own balance sheet to how its customer's leases perform and what the AI racks are worth later. Broadcom's liability equals any gap between 72.5% of the outstanding lease amounts and what the racks fetch in a sale.
OptimistFi has argued that Broadcom turns deal-driven revenue into predictable cash flow. It has also argued that capital allocation lifts earnings per share. A contingent obligation of this size cuts against the predictability in that view, so the filing weakens the case.
Broadcom says the Backstop is a contingent liability it believes has a low probability of occurring. It cites the expectation of a strong profitability trajectory at the customer and the sustaining value of the underlying assets.
If the customer defaults, Broadcom can assume the lease. It can also resell the racks to the seller at a fixed price under certain conditions, or arrange a sale of the racks.

What's next
Broadcom's next quarterly report is the next scheduled test of the case. Any change in the company's low-probability view of the Backstop would shift OptimistFi's reading. So would a customer lease default, the event that triggers the remedies.
