Expand Energy’s adjusted profit jumps 44.4% but net income slips (NASDAQ: EXE)

What happened

Expand Energy Corporation (NASDAQ: EXE) reported adjusted third-quarter net income of $338 million, up from $234 million a year earlier. Net income fell.

Net income was $519 million, or $2.24 per diluted share. A year earlier it was $547 million, or $2.28 per diluted share. That is a 5.1% decline by OptimistFi's calculation. The company also closed its acquisition of Twin Eagle Holdings, N.A., LLC (Twin Eagle) on Sept. 16 and updated its 2026 capital and operating outlook.

Chief Executive Officer Danny Brown said Expand Energy is "uniquely positioned to monetize the volatility we see in the gas market today."

What drove the quarter

Adjusted diluted earnings per share rose to $1.46 from $0.97 a year earlier, a 50.5% increase by OptimistFi's calculation. Adjusted EBITDAX climbed to $1.23 billion from $1.08 billion, a 13.6% gain.

The two profit measures move apart because adjusted net income leaves out items the company says do not reflect core operating performance. One is unrealized derivative gains. Those gains were $153 million this quarter against $309 million a year earlier.

Net production was 7.54 Bcfe per day, 92% natural gas. That is up 2.8% from 7.33 Bcfe per day a year earlier by OptimistFi's calculation. The average realized price including realized derivatives was $3.17 per Mcfe, up from $2.95.

Costs rose unevenly. Gathering, processing and transportation expense was $678 million against $608 million. Production expense held at $168 million against $169 million.

Marketing, cash and buybacks

Marketing adjusted EBITDA was $35 million in the quarter against $7 million a year earlier. For the nine months it was $150 million against a loss of $5 million. The company expects $80 million of marketing EBITDA in the fourth quarter, reflecting the Twin Eagle deal. The cash flow statement shows a net business combination outflow of about $1.4 billion in the quarter.

Operating cash flow was $1.18 billion against $1.20 billion a year earlier. The company attributes this to operational performance and liquids revenue. Cash capital expenditures rose to $838 million from $775 million. Free cash flow, a non-GAAP measure, fell to $339 million from $426 million. Cash and equivalents ended September at $118 million, down from $616 million at Dec. 31, 2025.

Total debt was $4.6 billion at quarter-end and the leverage ratio was 0.8x. Net debt, a non-GAAP measure, was $4.66 billion against $4.41 billion at Dec. 31, 2025.

The company repurchased $305 million of common stock in the quarter. Year-to-date repurchases reached approximately $900 million, or 4% of shares outstanding. It has $1 billion of capacity for more under its expanded authorization. A quarterly base dividend of $0.575 per share is planned for Dec. 3 to holders of record on Nov. 12.

Why it matters

OptimistFi has argued that Expand Energy works if the Southwestern merger turns it into a lower-cost, better-marketed gas platform rather than just a bigger commodity bet. The marketing results and the closed Twin Eagle deal give the better-marketed half of that argument something to measure. The cost half is less clear. Gathering, processing and transportation expense grew while production expense stayed flat.

The 11 to 12 rig plan and the capital budget are guidance. The release lists commodity-price volatility, integration of acquisitions including Twin Eagle, and reduced demand among its uncertainties. Free cash flow and the cash balance both fell from their comparison periods, a counterweight to the stronger adjusted earnings. On balance the filing leaves the case mixed.

What's next

The next test is the conference call at 9 a.m. EDT on Oct. 28. Management will discuss the third-quarter results and the 2026 outlook.

For 2026 the company expects to run 11 to 12 rigs, invest approximately $3 billion of capital and average approximately 7.45 to 7.55 Bcfe per day. Nine-month production averaged 7.49 Bcfe per day, inside that range. A fourth-quarter marketing result at the expected level would back the marketing argument. A shortfall would weaken it.
