What happened

Why it matters

The filing turns the December 2025 financing into a live legal claim. Rekor says it received gross proceeds of approximately $15 million and net proceeds of approximately $13.9 million, a spread of about $1.1 million. The complaint says the deal also issued 8,571,428 seven-year warrants. It ties that structure to a transaction the complaint says Mehta recommended and voted for.

The complaint says the side letter limited at-the-market sales to prices of at least $1.75. It also gave Anson through December 16, 2027, the right to buy up to 30% of the securities in any qualifying equity financing. Rekor separately says that if its public float falls below $75 million at an applicable eligibility determination, future sales on Form S-3 may be limited. The limit would be one-third of its public float in any twelve-month period.

The strongest caveat is in the filing itself: the allegations have not been adjudicated, and Rekor says it cannot predict the outcome. That makes the filing a balance-sheet and governance story, not an operating update. The action also highlights the cost of the financing itself, since Rekor says the deal left the company with warrants, a participation right and other restrictions. OptimistFi's case is that Rekor works only if adoption keeps building and losses keep narrowing.

This filing is mixed for that view because it adds litigation over the financing and seeks recovery, but it does not change operating results.

What's next

The key calendar date in the filing is December 15, 2026, when the $15 million Revenue Notes mature. The complaint says Rekor cannot meet that maturity without refinancing, restructuring or new capital. A refinancing before then would ease the pressure the filing highlights.
