What happened
Bending Spoons S.p.A. (NASDAQ: BSP) said it entered a binding agreement with Berkshire Hathaway for a $330 million private placement. The deal calls for 10 million ordinary shares at $33.00 each and would give Berkshire Hathaway a 4% ownership stake. Bending Spoons said Berkshire Hathaway had previously invested $600 million in the company at its July 2026 initial public offering.
The filing says gross proceeds will be about $330 million before offering expenses. Bending Spoons said it plans to use the net proceeds for general corporate purposes and new acquisitions as part of its broader financing strategy. The transaction is still subject to customary closing conditions, and Bending Spoons expects it to close in Q4 2026.
Key numbers
| Metric | Latest | Change | Source |
|---|---|---|---|
| Gross proceeds | $330 million | SEC 6-K | |
| Shares to be issued | 10 million ordinary shares | SEC 6-K | |
| Purchase price per share | $33.00 per share | SEC 6-K | |
| Berkshire Hathaway ownership stake | 4% | SEC 6-K Exhibit 99.1 | |
| Prior Berkshire Hathaway investment | $600 million | SEC 6-K Exhibit 99.1 |
Why it matters
The placement gives investors a clear financing baseline because the filing names the size, price, share count, resulting stake, and intended use of proceeds for the new capital. The new $330 million equals 55% of Berkshire Hathaway's earlier $600 million IPO investment. That makes the second investment large relative to the first, even before offering expenses.
The planned use of proceeds also matters because Bending Spoons said the money will support general corporate purposes and new acquisitions. Francesco Patarnello said Bending Spoons continuously evaluates M&A opportunities and that the pipeline remains strong. The filing also gives a clean reference point for future financing moves and ownership updates. The main caveat is that the transaction is still conditional, so the 4% stake and cash proceeds are not final until closing.

What's next
Bending Spoons expects the private placement to close in Q4 2026. The company also said it will include additional details about the private placement in a later Form 6-K. If the closing is completed, Berkshire Hathaway will receive the cash and the 4% stake will take effect in Bending Spoons' capital structure. If the closing conditions are not met, the announced placement will remain pending and will not add cash or the stake to the company.
