
Capstone Energy+ (NASDAQ:CEPL) shareholders elected President and Chief Executive Officer Vincent J. Canino and Interim Chief Financial Officer John P. Miller as Class III directors at the company’s 2026 annual meeting on Aug. 20.
Canino and Miller will serve until the 2029 annual meeting of stockholders, or until their successors are elected and qualified, according to the preliminary voting results announced during the virtual meeting.
Quorum and Voting Power
Alfredo Gomez, Capstone’s general counsel and secretary, said the company had set July 2, 2026, as the record date for the annual meeting. As of that date, Capstone had 32,220,718 shares of voting common stock and 80,000 shares of Series A convertible preferred stock outstanding and eligible to vote.
The preferred shares carried 16,203,835 votes when voting alongside common stock as a single class, bringing the company’s aggregate voting power to 48,424,553 votes. Capstone also had 333,120 shares of non-voting common stock outstanding, which were entitled to notice but not to vote.
Gomez, serving as inspector of elections, said stockholders representing 20,293,123 votes, or about 42% of the voting power entitled to vote, were present virtually or represented by proxy. That exceeded the company’s 33.3% quorum requirement.
Board and Management
Interim Chairman Robert Powelson introduced the directors participating in the meeting, including Canino, Miller, Audit Committee Chair Christopher Close, Nominating and Corporate Governance Committee Chair Robert Beard, and Compensation Committee member Ping Fu.
Powelson has served as a director since 2019 and has been interim chairman since Oct. 31, 2025. Canino has been a director since March 2024, while Miller has served on the board since February 2024.
The company said it will report final voting results in a Current Report on Form 8-K filed with the Securities and Exchange Commission within four business days following the annual meeting.
No stockholder questions were submitted through the meeting portal. Powelson then adjourned the meeting.
